Inverness Caledonian Thistle have accepted a majority stake offer from an English company and are “confident that their investment will secure the club’s future”.
Seventy7 Ventures is a sports, entertainment and leisure group registered in Windsor.
“We are seizing the opportunity to drive the sustainability and growth of the club and lead them to future prosperity,” said Seventy7 Ventures chief executive Ketan Makwana.
A statement from Caley Thistle, relegated to League 1 last season, said the offer had been “unanimously accepted by the board”.
More details of the deal will be promised once the deal is completed.
In May, the club announced plans to move their training base to Kelty in Fife in a bid to cut costs.
Having received a furious reaction from supporters, the decision was quickly discarded, with the resignation of President Ross Morrison.
The 2015 Scottish Cup winners also revealed they were preparing to go into administration if they were unable to find new investment.
